1. Acceptance of Terms

By accessing and using Simply-Link ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Simply-Link is a payment processing platform that allows users to:

• Create secure payment links for clients
• Process payments through Stripe
• Manage client information and payment history
• Send automated payment reminders
• Track payment status and analytics

3. User Accounts

To use our Service, you must:

• Be at least 18 years old or have parental consent
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Process fraudulent or unauthorized payments
• Harass, abuse, or harm others
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Use the service for illegal activities
• Violate intellectual property rights

5. Stripe Connect and Payment Processing

Payment processing is powered by Stripe Connect. By connecting your Stripe account to Simply-Link, you agree to be bound by the Stripe Connected Account Agreement which includes the Stripe Services Agreement (collectively, the "Stripe Services Agreement"). We are a Platform using Stripe Connect to integrate payment services into our platform. By agreeing to these Terms or continuing to operate as a user on Simply-Link, you agree to be bound by the Stripe Services Agreement, as it may be modified by Stripe from time to time. As a condition of Simply-Link enabling payment processing services through Stripe, you must provide us with accurate and complete information about you and your business, and you authorize us to share this information and transaction data related to your use of the payment processing services with Stripe.

Platform Services We Provide:

• Payment link creation and management
• Payment processing integration with Stripe
• Transaction history and reporting
• Automated payment reminders
• Client management tools
• Dashboard analytics

Payment Terms:

• Free Tier: We charge a 2.9% + £0.30 platform fee per transaction, in addition to Stripe's processing fees
• Pro Tier: Platform fees are waived for active Pro subscribers (£9/month subscription fee applies)
• Platform fees are clearly disclosed before each transaction and are non-refundable unless required by law
• We reserve the right to change fees with 30 days notice
• You are responsible for all taxes related to your transactions
• Payouts are processed by Stripe according to their payout schedule

Important: You must not use Simply-Link or Stripe services for any business listed on Stripe's Restricted Businesses List . We reserve the right to suspend or terminate accounts engaged in prohibited activities.

6. Data and Privacy

Your privacy is important to us. Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. You agree that:

• You have read and understood our Privacy Policy
• You consent to our collection and use of your data as described
• You are responsible for obtaining consent from your clients for data processing
• You will comply with applicable data protection laws

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Simply Works LTD and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your content, but grant us a license to use it for service provision.

8. Disclaimers

The Service is provided "as is" without warranties of any kind. We disclaim:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the service will be uninterrupted or error-free
• Warranties regarding the accuracy of information
• Warranties that defects will be corrected

9. Limitation of Liability

In no event shall Simply Works LTD be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from third-party services (Stripe, etc.)
• Damages exceeding the amount paid for the service in the past 12 months

10. Indemnification

You agree to indemnify and hold harmless Simply Works LTD from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws

11. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Service will cease immediately, and we may delete your account and data.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by:

• Posting the updated terms on our website
• Sending email notifications to registered users
• Displaying notices in the user dashboard

Continued use of the Service after changes constitutes acceptance of the new terms.
